Abstract


The Elements Affecting Corporate Governance Scores of Firms: BIST 100 Example
The importance of corporate governance practices and the fact that these applications become increasingly necessary make companies more reliable institutions. Although compliance with corporate governance principles are compulsory in Turkey measurement of corporate governance scores is not mandatory. This study examines the effects of some elements related to corporate governance practices and some performance measures on the corporate governance rating. While return on equity (ROE) and market value/book value are used as performance criteria, the number of audit committee members and independent members, the number of corporate governance members and independent members, and the number of early detection of risk committee members are used as corporate governance factors. The study is analyzed with Tobit regression model. The data set is balanced data set from BIST 100 firms in the period of 2007-2013. As a result, no relationship can be found between corporate governance scores and financial performance of firms in Turkey. However, it is determined that some of the characteristics of corporate committees have positive effects on firms' financial performance.
